Terms of Service

This Agreement is entered into between Pars International Computer Inc (“Provider”), producer of TechDaily.AI (the site on which the podcast is hosted), and the sponsoring party (“Sponsor”).

1. Sponsorship & Custom Episode Options

1.1 Sponsorship Option.

Sponsor may elect to sponsor a designated episode of the podcast (the “Sponsored Episode”) in consideration of the Sponsorship Fee. If the episode title or publication date is not pre-designated, Sponsor must submit its requested title and publication date for Provider’s written confirmation at least one (1) week prior to the desired publication date.

1.2 Ad Spots (Sponsorship Only).

Provider will record, produce, and insert Sponsor’s ad copy as follows:
– Pre-Roll Ad: up to 30 seconds (or up to 450 words) at the start of the Sponsored Episode
– Post-Roll Ad: up to 30 seconds (or up to 450 words) at the end of the Sponsored Episode

1.3 Ad Copy & Approval (Sponsorship Only).

Sponsor will deliver final script and any audio assets within the agreed lead time before recording. Provider will produce the ads in its standard voice and tone. Sponsor may request up to two (2) rounds of edits; final approval will not be unreasonably withheld.

1.4 Custom Episode Option.

Alternatively, Sponsor may elect to fully customize an episode (the “Custom Episode”), selecting the topic, desired episode title, key talking points or guests, and any ads or messaging to be integrated. Provider will handle all production, editing, and distribution in accordance with Sponsor’s specifications, subject to reasonable production timelines and up to two (2) rounds of revision.

1.5 Scheduling & Distribution.

Whether under the Sponsorship Option or Custom Episode Option, the episode will be recorded on the agreed date and, upon publication, distributed to Spotify, Apple Podcasts, Amazon Music Podcasts, Overcast, and PodcastPodcast.

2. Fees & Payment

2.1 Sponsorship Fee.

Sponsor will pay a mutually agreed Sponsorship Fee for the Sponsorship Option.

2.2 Custom Episode Fee.

Sponsor will pay a mutually agreed Custom Episode Fee for the Custom Episode Option.

2.3 Prepayment Terms.

All services are prepaid. Provider will invoice Sponsor upon execution of this Agreement for the selected option, and no work will begin until full payment is received via credit card or ACH.

3. Sponsor Obligations & Representations

Sponsor represents and warrants that it holds all necessary rights to any trademarks, logos, audio clips, or other materials it provides, and that such materials do not infringe third-party rights. Sponsor further agrees that its content will comply with all applicable laws, regulations, and platform requirements.

4. Provider Rights & Ownership

4.1 Episode Content.

Provider retains all rights in the underlying episode content, excluding Sponsor-provided materials.

4.2 License to Sponsor.

Upon full payment, Provider grants Sponsor a non-exclusive, royalty-free license to use Sponsor’s copy of the Sponsored or Custom Episode (including Sponsor’s ads and messaging) for internal marketing or promotional purposes for one (1) year following publication.

4.3 Post-Termination Availability.

After the term ends, Provider makes no guarantee that the episode will remain available on TechDaily.AI or any distribution platform, nor that Provider will not modify or remove it.

5. Term & Termination

This Agreement is effective upon execution and concludes once all obligations are met and fees paid. Either party may terminate immediately for material breach if the breaching party fails to cure within ten (10) days of written notice.

6. Indemnification & Limitation of Liability

Sponsor will indemnify Provider against any claims arising from Sponsor materials or content; Provider will indemnify Sponsor against claims arising from Provider’s breach or production errors. Neither party will be liable for indirect, incidental, special, or consequential damages, and Provider’s aggregate liability will not exceed the total Fee paid.

7. Confidentiality

Each party will keep confidential any non-public information received and use it solely to fulfill its obligations under this Agreement.

8. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California, and any dispute will be resolved by binding arbitration in Alameda County, California under the Commercial Arbitration Rules of the American Arbitration Association.

9. Miscellaneous

• Amendments require a written instrument signed by both parties.
• Assignment is permitted only with prior written consent, except to a successor by merger or acquisition.
• This document constitutes the entire agreement between the parties.

Executed as of the date of payment and acceptance by Sponsor.
